1. About These Terms

Welcome to Jagannath Digital Ltd. These Terms and Conditions govern your use of our website at www.jagannathdigital.com and any services, products, or content we make available through it.

By visiting our Website, placing an order, or engaging us to carry out any work, you confirm that you have read, understood, and agreed to be bound by these Terms.

These Terms are governed by the law of England and Wales and are intended to comply with the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the Electronic Commerce (EC Directive) Regulations 2002, and all other applicable UK legislation.

We operate three business divisions covered by these Terms: Monsta Media East Ham (digital marketing), JD Apparel (e-commerce clothing), and JD Organics (in development).

3. Using Our Website

3.1 Access

We make this Website available free of charge. We do not guarantee it will always be accessible or free from errors. We may suspend or restrict access at any time without notice for maintenance, technical updates, or security reasons.

3.2 Acceptable Use

When using our Website, you must not:

  • Violate any applicable UK law or regulation, or the rights of any third party
  • Transmit unsolicited advertising, spam, or promotional material
  • Introduce any virus, trojan, worm, or other technically harmful material
  • Attempt to gain unauthorised access to any part of the Website or its connected systems
  • Scrape or reproduce Website content for commercial purposes without our written consent
  • Impersonate any person or entity

3.3 Third-Party Links

Our Website may include links to third-party websites (Amazon storefront, social media profiles). These are provided for your convenience only. We accept no liability in connection with them.

4. Digital Marketing Services — Monsta Media East Ham

4.1 Proposals and Agreements

No binding contract for marketing services is formed until both parties have confirmed in writing (including by email) that they accept the scope, deliverables, timelines, and fees in the proposal.

4.2 Our Obligations

We will provide agreed services with reasonable care and skill. Where services involve third-party platforms (Google Ads, Meta Ads, etc.), our work is subject to those platforms' own policies. We cannot guarantee specific results, rankings, or lead volumes.

4.3 Client Responsibilities

You agree to provide accurate information, access credentials, brand assets, and approvals in a timely manner; ensure supplied content does not infringe third-party rights; and notify us promptly of any changes to your business.

4.4 Fees and Payment

  • Monthly retainer fees are invoiced on the first working day of each month, due within 14 days
  • Project fees may require up to 50% deposit before work commences
  • Statutory interest may be charged on overdue invoices at 8% above the Bank of England base rate
  • All fees are quoted exclusive of VAT unless stated otherwise

4.5 Cancellation of Services

Either party may terminate an ongoing arrangement by giving 30 days' written notice. Fees already due for work carried out remain payable. We will not charge for work not yet started at cancellation.

Results Disclaimer: Digital marketing is an investment, not a guaranteed transaction. We do not and cannot guarantee specific outcomes such as page-one rankings, a fixed number of leads, or a set return on advertising spend.

5. Product Sales — JD Apparel

5.1 Placing an Order

A contract of sale is formed only when we send you an order confirmation email. If we cannot fulfil your order, we will contact you promptly and arrange a full refund.

5.2 Pricing

All product prices are displayed in GBP inclusive of VAT where applicable. Delivery charges are shown at checkout before purchase.

5.3 Delivery

We aim to dispatch orders within the timeframe shown on the product listing. Risk passes to you on delivery; title passes once full payment is received.

5.4 Your Right to Cancel — Consumer Orders

If you are a consumer, you may cancel your order within 14 calendar days of receiving the goods without giving any reason. Contact us at info@jagannathdigital.com with your order details. Return postage is your responsibility unless the item is faulty or not as described. Refunds are issued within 14 days of receiving the return.

Important: Personalised or custom-printed items made to your specification are excluded from the standard cancellation right as they cannot be resold.

5.5 Faulty or Incorrect Items

If you receive a faulty, damaged, or incorrect item, please contact us within 30 days of delivery with a description and photograph. We will arrange a replacement, exchange, or full refund at no cost to you. Your statutory rights under the Consumer Rights Act 2015 are not affected.

6. Intellectual Property

Everything on this Website — design, layout, copy, graphics, logos, brand names, code, and other material — is owned by Jagannath Digital Ltd or licensed to us. All rights are reserved.

You may view, download, and print content for your own personal, non-commercial use only. You must not reproduce or distribute any content commercially without our express written permission.

Where we create marketing content for you as part of a paid engagement, ownership of final deliverables passes to you upon receipt of full payment, unless otherwise specified. We retain the right to reference completed work in our portfolio and case studies.

7. Confidentiality

Where we provide marketing services, both parties may share commercially sensitive information. We treat all client information — including business strategy, customer data, campaign metrics, and financial details — as strictly confidential.

This obligation of confidentiality survives the end of any services engagement by a period of two years.

8. Data Protection

The way we collect and handle personal data is set out in our Privacy Policy, which forms part of these Terms by reference. By using this Website or engaging our services, you confirm that you have read our Privacy Policy and accept its terms.

9. Our Liability to You

9.1 What We Are Responsible For

We are responsible for loss or damage you suffer that is a direct, foreseeable result of our breach of these Terms or our negligence.

9.2 What We Are Not Responsible For

We will not be liable for loss of profit, loss of business, loss of revenue, indirect or consequential loss, or losses caused by circumstances outside our control, third-party platform changes, or your failure to provide timely information or approvals.

9.3 Cap on Liability

Where we are found liable in connection with a services engagement, our total liability shall not exceed the total fees paid by you in the three months preceding the event giving rise to the claim. Nothing in these Terms limits liability for death or personal injury caused by our negligence, or for fraud.

10. Warranties and Representations

You warrant that any information or materials you provide are accurate, complete, and do not infringe third-party rights, and that you will use our services in a lawful manner.

We warrant that we will provide services with reasonable care and skill and that products will conform to their description and be of satisfactory quality in accordance with the Consumer Rights Act 2015.

11. Complaints

Please contact us at info@jagannathdigital.com with the nature of your complaint and your desired outcome. We will acknowledge within two working days and aim to provide a full response within ten working days.

12. Events Outside Our Control

We will not be liable for any failure or delay caused by circumstances genuinely beyond our reasonable control, including power outages, internet disruptions, industrial action, natural disasters, pandemic restrictions, platform failures, or changes in law. If such an event persists for more than 30 days, either party may terminate the affected agreement on written notice without penalty.

13. Changes to These Terms

We may update these Terms from time to time. For existing service clients, material changes will be communicated by email with reasonable notice. Your continued use of the Website after any update constitutes acceptance of the revised Terms.

14. General Legal Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreement or order confirmation, constitute the entire agreement between us and replace any previous arrangements on the same subject matter.

14.2 Severability

If any provision is found to be unlawful or unenforceable, it shall be modified to the minimum extent necessary, and the remaining Terms continue in full force.

14.3 Waiver

A failure to enforce a right under these Terms does not constitute a waiver. Any waiver must be given in writing to be effective.

14.4 No Third-Party Rights

These Terms are between you and Jagannath Digital Ltd only. Nothing in them confers any right or remedy on any third party under the Contracts (Rights of Third Parties) Act 1999.

14.5 Assignment

We may assign our rights and obligations (e.g., as part of a business restructure) provided this does not materially affect your rights. You may not assign your rights without our prior written consent.

15. Governing Law and Disputes

These Terms and any dispute arising from them are governed by the law of England and Wales. Both parties agree to submit to the non-exclusive jurisdiction of the courts of England and Wales.

Consumers may also have the right to bring proceedings in the courts of the country in which they are resident.
